You are responsible for all applicable taxes, levies, or duties associated with your purchase.
5.4 Late Payment
Accounts with overdue payments may be suspended until payment is received. A late fee of 1.5% per month (or maximum allowed by law) may be charged.
5.5 Auto-Renewal
Subscription plans automatically renew unless cancelled before the renewal date. You can cancel your subscription at any time through your account settings.
5.6 Refund Policy
- Free Initial Consultation: No charge, no refund needed
- Founding Customers: Contact us within 30 days for satisfaction guarantee
- Subscription Services: Pro-rated refunds considered on case-by-case basis
- Custom Projects: Refund terms specified in project agreement

6. Intellectual Property

We are not liable for any loss or damage resulting from service interruptions.
7.1 Service Level Commitments
Uptime Target: We aim for 99% monthly uptime for our services
- Planned Maintenance: Scheduled maintenance announced 48 hours in advance
- Emergency Maintenance: May occur without advance notice
- Monitoring: 24/7 system monitoring and support
Note: The uptime target is a goal, not a guarantee. See Section 8 (Limitation of Liability) for remedies.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
8.1 Exclusion of Damages
NEXUS AI SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption
- Loss of goodwill or reputation
- Cost of substitute services
8.2 Cap on Liability
OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO OUR SERVICES SHALL NOT EXCEED THE GREATER OF:
- (a) The amount you paid for the services in the 12 months preceding the claim, OR
- (b) $100 USD
8.3 Jurisdictional Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
8.4 Essential Purpose
If the limited remedies provided herein fail of their essential purpose, you may have additional rights under applicable law.
9. Indemnification
You agree to indemnify and hold harmless Nexus AI Solutions, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.
10. Termination
We may terminate or suspend your account and bar access to our services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever.
Upon termination, your right to use the services will cease immediately.
11. Dispute Resolution
11.1 Informal Resolution
Before filing any formal claim, you agree to contact us at myainexus@gmail.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.
11.2 Small Claims Court
Either party may bring a claim in small claims court if it qualifies.
11.3 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, NOT AS A CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
12. Governing Law and Jurisdiction
12.1 Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.
12.2 Jurisdiction and Venue
Any disputes arising from these terms shall be resolved exclusively in the state or federal courts located in United States, Utah. You consent to the personal jurisdiction of such courts.
13. Changes to Terms
13.1 Modification Rights
We reserve the right to modify these Terms of Service at any time.
13.2 Notification of Changes
We will notify you of material changes by:
